These Terms of Use govern your access to and use of JustProcure (justprocure.co.za), a platform operated by Just Client Consulting (Pty) Ltd ("Just Client", "we", "us"). By accessing or using JustProcure, you agree to be bound by these terms. If you're using JustProcure on behalf of a company or organisation, you confirm you have the authority to accept these terms on its behalf, and "you" refers to both you and that organisation.
1. Acceptance of these terms
You accept these terms by registering for an account, subscribing to tender alerts, or otherwise using JustProcure. See our Privacy Policy for how we handle your personal information - it forms part of these terms.
2. The service
JustProcure connects suppliers with tender opportunities published by buyer organisations, and gives buyer organisations tools to run the tendering lifecycle - publishing, briefings, submissions, evaluation and adjudication - along with optional contract, requisition, purchase order and asset disposal management. Just Client acts as the platform provider; we are not a party to, and take no responsibility for, the outcome of any individual tender process run between a buyer organisation and its suppliers.
3. Registration and accounts
- You must provide accurate, current information when registering, and keep your company profile up to date.
- You're responsible for keeping your login credentials confidential and for all activity that happens under your account.
- Tell us immediately if you suspect unauthorised use of your account.
- We may suspend or decline a registration where information provided appears false, incomplete, or where we reasonably suspect fraud.
4. Acceptable use
When using JustProcure, you agree not to:
- Submit false, misleading, or fraudulent information in a company profile, tender response, or supporting document.
- Attempt to access another user's account, or data belonging to a company or organisation you're not authorised to represent.
- Interfere with the platform's operation, including by automated scraping, submitting automated form entries, or attempting to bypass its security controls.
- Use the platform, or information obtained through it, in any way that breaches applicable law, including competition and anti-corruption law.
5. Tenders, submissions and awards
Each buyer organisation is responsible for the content of its own tenders, the conduct of its evaluation and adjudication process, and the decision to award or not award a tender. Submitting a response through JustProcure does not guarantee that your submission will be considered compliant or that any tender will be awarded to you. Just Client is not responsible for a buyer organisation's procurement decisions, or for errors or omissions in a tender a buyer organisation publishes.
6. Tender alert subscriptions
Anyone can subscribe to free email tender alerts without creating an account, by providing an email address, a category, and up to five keywords. We send one digest email per day listing new matching active tenders; we don't guarantee an alert will cover every tender that might interest you, and alerts are provided for convenience only - you remain responsible for checking tender closing dates directly. You can unsubscribe at any time using the link in any alert email.
7. Fees and subscriptions
Browsing and responding to tenders, and subscribing to tender alerts, is free for suppliers. Buyer organisations use JustProcure under a paid subscription package, as agreed separately at registration or in a signed order form - those commercial terms, not this page, govern billing, invoicing and payment for buyer organisation accounts.
8. Intellectual property
The JustProcure platform, its design, and its underlying software are the property of Just Client Consulting. You retain ownership of the content you submit (such as your company profile or tender responses), and you grant us a licence to host, process, and display that content as needed to operate the platform and the tender processes you take part in.
9. Third-party links
JustProcure may link to or reference third-party websites or documents, including those published by buyer organisations. We don't control, and aren't responsible for, the content or availability of third-party sites.
10. Disclaimers
JustProcure is provided "as is" and "as available". While we work to keep it accurate and available, we don't warrant that it will be uninterrupted, error-free, or free of harmful components, and we don't warrant the accuracy or completeness of tender content published by buyer organisations.
11. Limitation of liability
To the maximum extent permitted by law, Just Client Consulting isn't liable for any indirect, incidental, or consequential loss arising from your use of JustProcure, including loss of a tender opportunity, revenue, or data, except where that loss results from our gross negligence or wilful misconduct.
12. Indemnity
You agree to indemnify Just Client Consulting against any claim arising from your breach of these terms, or from information you submit through the platform being false, misleading, or infringing a third party's rights.
13. Suspension and termination
We may suspend or terminate your access to JustProcure if you breach these terms, or where we reasonably believe your account poses a security or legal risk to the platform or its users. You may close your account at any time by contacting us.
14. Governing law
These terms are governed by the laws of the Republic of South Africa, and any dispute arising from them is subject to the jurisdiction of the South African courts.
15. Changes to these terms
We may update these terms from time to time. We'll update the "Last updated" date above when we do, and for material changes we'll take reasonable steps to let registered users know. Continuing to use JustProcure after a change takes effect means you accept the updated terms.
